Your account and its keys

• An account belongs to one person or one company, named by its email address. Keep its password to yourself.
• A key is personal. It belongs to the account that made it and to one product. Do not share it, sell it or publish it.
• An account holds up to three live keys. You are responsible for what is done with them. If one leaks, revoke it in your account and make another.
• One account per person or company. Do not open several to get around a limit.

Who may buy pro

Pro is sold to businesses and professionals only: you buy it on behalf of a business or in your profession, not as a consumer. The billing page asks you to say so before payment, and we keep the time you did. The free plan is open to everyone, consumers included.

What each plan allows

An account is on a plan, and all its keys with it. What you may do with the data depends on it:

Free

Evaluation and prototypes: trying the data and building something to show it. Not for running a product that others rely on.

Pro

Use inside your own product, including a commercial one, showing the data to your own users. You may cache answers for up to 24 hours. No bulk export, no resale, and no publishing a dataset built from the data.

Licence

Negotiated, from €149 a month. Bulk delivery as files, daily or per quarter, and the right to load the data into your own database and serve it to your customers or include it in a dataset you sell, with the attribution "data by KrabyData" wherever it is shown. Only the SEC-derived datasets and the identity layer are ever licensed. European issuer files are never licensed, at any price, until their issuers agree in writing, and the cusip and sedol fields never are.

Anything the plan does not allow needs a written licence from us. The data licence adds the rules of each source.

Limits

Each plan has a quota over a period, a UTC month or a UTC day, and may have a per-minute rate, all for the account across its keys. Today the free plan allows 100 requests a month; the pro plan 5,000 a day and 120 a minute. Past a limit the API answers 429 until the minute, the day or the month is over; nothing is charged for it. Do not work around a limit with several accounts.

Changes to limits, prices and these terms

We change a plan's limits, its price or these terms only for a stated reason: a change in the law, a change in the cost or the terms of a source, abuse, or security. We tell account owners by email 30 days before the change applies, and say which reason it is. A change that makes a paid plan worse for you (lower limits, a higher price, stricter terms) lets you end the subscription before it applies and be refunded the unused part of the period. That is the only refund: otherwise a cancelled subscription runs to the end of the period paid, and that period is not refunded.

Paying for pro

Pro is paid in advance by the month or by the year, by card, through Stripe. Your account moves to pro when the payment goes through. Stripe is the merchant of record, issues the invoices and charges VAT where it applies.

A subscription renews automatically at the end of each month or year, at the price then in force, until you cancel it. Cancel at any time from the billing page of your account, or in Stripe's customer portal that the page opens. The plan then runs to the end of the period paid and the account returns to free. If a renewal cannot be charged after Stripe's retries, the account returns to free.

What the data is

The data comes from public sources, mainly SEC filings, and is described on each answer. Holdings from SEC filings are two to five months old. We check what we can, but sources contain mistakes and so can our processing. What you may do with the data is in the data licence.

KrabyData is data, not investment advice. PentaLab is not supervised by the FSMA and does not give advice on investments; the data must not be the only basis for a financial decision.

Availability

We aim to keep the API up and say on the status page when a source is late. There is no uptime guarantee on the free plan. Paid plans' commitments, if any, are in their order.

Revoking a key or closing an account

We may revoke a key or close an account, without notice when it is urgent, if a key is shared or published, used to get around the limits, used to redistribute data against the data licence, used to attack or overload the service, or if a paid plan goes unpaid. We tell the account's owner why, except where the law prevents it. You may revoke your keys or delete your account at any time from the account's pages. Deleting it revokes every key and ends the subscription at once; the period already paid is not refunded.

No warranty

The data is given as it is, with its source on every answer. We do not promise that it is complete, correct, current or fit for a purpose of yours. Check anything a decision depends on against the source filing, whose address is in source.url.

Liability

For the free plan, our liability is zero. For a paid plan, our total liability for all claims is limited to the fees you paid us in the twelve months before the claim.

Whatever the plan, we are not liable for indirect or consequential loss, such as lost profits, lost revenue or customers, trading and investment losses, or the result of decisions taken on holdings that were stale or wrong.

None of this limits or excludes our liability for our own intent or gross negligence, or for death or personal injury, or anything else the law does not allow to be limited.

Your indemnity

If you breach the data licence, by redistributing or reselling the data or by building a dataset of your own from it, you will indemnify PentaLab against the claims of third parties that follow, including issuers, CUSIP Global Services and LSEG, and against the costs and damages they bring, reasonable legal fees included.

Force majeure

We are not liable for a delay or failure caused by events beyond our reasonable control, such as the failure of a source, of the hosting provider or of the network, a strike, a disaster or an act of an authority. We tell you, and resume as soon as we can.

Assignment

You may not transfer your account or these terms to anyone else without our written consent. PentaLab may transfer them to a successor that takes over KrabyData.

If a clause is void

If a court finds a clause of these terms void or unenforceable, the rest stays in force, and the clause is replaced by the valid one closest to what it meant.

Law and courts

Belgian law applies. Disputes go to the French-speaking Enterprise Court of Brussels.
